1. Acceptance of Terms
By creating an account or using Notal, you agree to these Terms of Service ("Terms"). If you use Notal on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Notal LLC provides a cloud-based business operations management platform integrating client relationship management, real-time communications, matter and task management, scheduling, document editing, billing, and AI-assistant functionality (the "Service"). The Service is intended for professional use by licensed attorneys and authorized staff.
3. User Responsibilities
You agree to:
- Provide accurate registration information and maintain the security of your account;
- Use the Service in compliance with all applicable laws and professional-conduct rules;
- Maintain confidentiality of any client or third-party information stored in Notal; and
- Avoid misuse of the Service, including reverse engineering, unauthorized access, or interference with other users' data.
Third-Party Account Connections: When you connect Google, Microsoft, or other third-party accounts, you authorize those providers to share data with Notal based on the permissions displayed during OAuth. You are responsible for ensuring your use complies with applicable laws, professional-conduct rules, and your organization's internal policies.
Confidential Data Risk: You acknowledge that using Notal to store confidential, privileged, or regulated information is done at your discretion. You are solely responsible for compliance with confidentiality, professional-conduct, and data-handling obligations applicable to your work.
4. Data Ownership
You retain all rights to the documents, notes, and materials you upload or generate in your workspace. By using Notal, you grant us a limited, non-exclusive license to process that content solely for the purpose of providing and improving the Service.
5. Confidentiality
We treat all client and matter data as confidential. Notal will not access, view, or disclose user content except as necessary to maintain the Service, comply with the law, or with your explicit permission.
6. Payment and Subscriptions
If you purchase a paid plan, you agree to pay the applicable fees. Subscription terms, renewal, and cancellation details will be provided at checkout or within your workspace billing settings.
7. Service Availability
We strive for continuous uptime but may perform maintenance or updates from time to time. Notal is provided "as is" and "as available." We do not guarantee uninterrupted operation or that the Service will meet every specific need.
Pre-release / Beta Features: Notal may offer features that are in beta, pilot, or pre-release status. These features may be incomplete, may change without notice, and may not meet compliance, security, or performance requirements.
8. Limitation of Liability
To the maximum extent permitted by law, Notal LLC and its affiliates are not liable for any indirect, incidental, or consequential damages arising from use of the Service. Total aggregate liability will not exceed the amount paid to Notal in the previous 12 months.
9. Termination
You may stop using Notal at any time. We may suspend or terminate access for violations of these Terms or for security reasons. Upon termination, your organization's data will be handled according to our Privacy Policy.
10. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
